These Terms of Service govern the use of the meiyuelmaterials.buzz website and the licensing services supplied by Hybird Game Limited, a Hong Kong company operating a sprite depot at Rm C 7/F World Trust Tower, 50 Stanley St, Central, Hong Kong - 999077, Hong Kong (HK). By browsing the website, sending a brief, booking a service bay or accepting a delivered bundle, you agree to these terms. If you do not agree, please do not use the website or the services.
1. The Agreement
These terms form a binding agreement between you, the person or organisation using the website or the services, and Hybird Game Limited. They apply together with any written scope document agreed for a particular run, any invoice issued for that run and any license record delivered with the assets. Where a scope document conflicts with these terms, the scope document takes priority for that run, because a negotiated and specific document is almost always clearer than a general one.
The agreement begins when you first use the website or when we accept your brief, whichever happens first. It continues until the relevant service run is complete and until any licence granted under it ends. Sections that by their nature should survive termination, including the licence restrictions, confidentiality, intellectual property, indemnity and limitation of liability, continue to apply after the agreement ends.
2. Definitions
In these terms the following meanings apply unless the context requires otherwise. The Company means Hybird Game Limited. The Depot means the sprite depot operated by the Company. Assets means the sprite sheets, tile packs, sound kits and any related files delivered under a service run. Licence means the permission granted to you to use the Assets, as described in these terms and in the applicable license record. Run means a single engagement covering one or more service lines. Scope Document means the written description of a run agreed between you and the Company. Client Materials means any file, data or information you supply to the Company for use in a run.
A reference to a business day means a day other than a Saturday, a Sunday or a public holiday in Hong Kong. A reference to writing includes email and a signed electronic document. A reference to a service line means one of the six lines published on the services page. Headings are included for convenience only and do not affect the interpretation of a clause.
3. Eligibility and Authority
The services are offered to business users and professional studios. By using the website or sending a brief you confirm that you are at least eighteen years old and that you have the authority to act for the organisation you represent. If you are acting for an employer or a studio, you confirm that you may bind that organisation to these terms and to the scope of the run.
We may ask for reasonable confirmation of identity or authority before we begin a run, and we may decline a brief where authority cannot be confirmed. A person named as a contact on a license record should be someone who can make decisions about the licensed use. If your authority changes, tell us promptly so that the record stays accurate.
4. Our Services
The Company licenses Assets from the Depot through six service lines: Sprite Sheet Bays, Tile Pack Runs, Sound Kit Desks, License Renewal Windows, Compatibility Reviews and Bundle Release Sittings. Each line is described on the services page, and that description forms part of the agreement for a run that uses it. The description on the website is an invitation to make a brief; a binding obligation to deliver arises only when a Scope Document is agreed.
The Company does not provide bespoke character design, original music composition or full narrative art direction. A brief that asks for those services will be declined with a short written note. The Company may add or retire a service line over time, and the current lines are those published on the website at the date of a brief.
5. Briefs and Scope
A run begins when you send a brief to general@meiyuelmaterials.buzz. The brief should name the project, the target engine, the Assets needed and the date the content must be in the build. We will reply with a written scope that names the bay assigned to the run, the deliverables, the review step, the delivery window and the fee. No work begins until you accept that scope in writing.
The Scope Document is the reference point for the run. If your needs change after acceptance, tell us in the same email thread, and we will confirm in writing whether the change fits the existing scope or requires a new run and a new fee. The Company will not expand a run silently, and it expects the same clarity in return. A change requested late in a run may move the delivery window, and we will say so before doing the work.
6. Fees and Payment
Fees are stated in the Scope Document and are quoted exclusive of any applicable tax unless stated otherwise. An invoice is issued at the point described in the scope, usually on acceptance or on delivery. Payment is due within the period stated on the invoice, and where no period is stated the default is thirty days from the invoice date. Payment must be made in the currency named on the invoice and by a method we have confirmed in writing.
Late payment may attract interest at the rate permitted by applicable law, and we may pause a run, a review or a release sitting while an overdue invoice remains unpaid. We will tell you before pausing so that you can resolve the matter. Amounts already paid are not refundable once a run has begun, except where these terms or a Scope Document expressly provide otherwise or where the law requires a refund. A deposit, where one is agreed, is applied against the final invoice.
7. Delivery and Acceptance
Assets are delivered through a method named in the Scope Document, typically a verified archive transferred to an address you nominate. A delivery is complete when the archive has been made available to you and the manifest has been verified at the Depot. You should acknowledge receipt within five business days and raise any defect within ten business days of delivery using the depot inbox.
A defect means a failure of the Assets to match the Scope Document or the published description of a service line. A change of creative direction, a preference for a different style or a decision to alter the engine target after delivery is not a defect. Where a valid defect is reported in time, the Company will correct it within a reasonable period or, if a correction is not possible, will discuss an appropriate remedy with you. Assets are treated as accepted if no defect is reported within the ten business day period.
8. Licence Grant
Subject to payment of the applicable fees and to these terms, the Company grants you a non-exclusive, non-transferable and revocable licence to use the Assets in the game project named in the Scope Document. The license record delivered with the Assets states the term, the territory, the permitted platforms and any field of use restriction. That record defines the boundary of the grant, and a use that falls outside it requires a new licence.
The licence does not transfer ownership of the Assets. The Company remains the owner of the Assets and of all rights in them, and you hold only the permission granted in the license record. The licence may be sublicensed to a contractor who works on the named project, provided the contractor is bound by terms at least as protective as these and provided the sublicence ends when the contractor relationship ends.
9. Licence Restrictions
You must not redistribute, resell, sublicense or make the Assets available as a standalone asset pack, template, stock library or training dataset. You must not use the Assets in a competing asset depot or in a service whose primary purpose is to supply art, audio or tiles to other developers. You must not remove a license note from a delivered bundle or represent the Assets as your own original work.
You must not use the Assets in a product that is unlawful, that infringes the rights of another person, that depicts identifiable individuals without their consent or that is directed at children in a manner that breaches applicable law. You must not use the Assets to train a generative model that will be distributed or sold, and you must not extract the audio from a sound kit for use outside the named project. Where a platform store requires a license declaration, you may state that the Assets are licensed from Hybird Game Limited and provide the license record.
10. Renewal Windows
A licence runs for the term stated in the license record. The Company opens a renewal window several weeks before the term ends and sends a written summary of the current terms alongside the renewal terms. A renewal continues the existing grant under the updated record, and a decision not to renew ends the licence at the stated expiry date.
After a licence ends, you must stop using the Assets in new builds and, where the license record requires it, remove them from distribution within the period stated. You remain responsible for any product already released before expiry that lawfully included the Assets under the term then in force. The Company will not begin a new run on a lapsed grant, and a renewal that is agreed after expiry takes effect from the date of written confirmation, not retroactively.
11. Compatibility Reviews
A compatibility review tests a finished batch in the engine version named in the Scope Document. The review considers import faults, texture page overflow, memory behaviour, frame rule breaks and mismatches between a data file and a delivered sheet. The result is a written report with severity notes and proposed fixes. The Company applies fixes that fall within the agreed scope and records the outcome in the client file.
A review reduces the risk of an import failure, but it does not guarantee that a batch will work in every engine configuration or on every device. Behaviour that depends on your own build, your own plugins or a platform update released after the review date is outside the scope of the review. Where a review identifies an issue that lies outside the agreed scope, the Company will say so and quote a separate run for the correction.
12. Bundle Release Sittings
A bundle release sitting assembles the final package with a manifest, a credits file and a license record. The archive is verified against the manifest before it is handed over. The credits file names the contributors that you have approved, and the license record states the grant in plain language. You are responsible for reviewing the credits file and the license record before the bundle is released to a storefront or a publisher.
The Company recommends that a bundle sitting be booked near the end of a run, once every other service line has closed. A bundle assembled from an unreviewed batch leaves the Depot with the Company name on a package it has not been able to verify, which is a situation both parties should avoid. Where you request a sitting before a review has been completed, the Company will record that decision in writing and confirm that the usual review warranty is not in effect.
13. Intellectual Property
The Company owns all right, title and interest in its website, its service descriptions, its documentation templates, its license record format and its business methods. Nothing in these terms transfers those rights to you. You may quote a short passage of the website for a commercial review or a reference, provided the source is named, but you may not copy the site wholesale or use its visual design for a competing service.
The Assets remain the property of the Company or of its licensors, and your rights are limited to the licence described in these terms. Feedback that you give about a service may be used by the Company to improve its offering without obligation, unless you ask in writing that a specific idea be treated as confidential. The Company does not claim ownership of your Client Materials, and it does not acquire any right to use them beyond what a run requires.
14. Client Materials
You keep all rights in the Client Materials that you send to the Depot. You grant the Company a limited licence to use those materials only for the purpose of the run, including the right to store, copy and review them as needed to produce the Assets. The licence ends when the run closes, except for the retention needed to keep the license record and the accounting trail.
You confirm that you have the right to send the Client Materials and that their use in a run does not infringe the rights of another person. If a Client Material includes work from a third party, you confirm that the third party has consented to the use described in the Scope Document. The Company will handle Client Materials under the confidentiality obligations described below and will delete them on request where no legal obligation requires retention.
15. Confidentiality
Each party may receive information that the other treats as confidential, such as a project roadmap, a build detail, a pricing arrangement or an unreleased asset. The receiving party will use that information only for the purpose of the agreement, will protect it with reasonable care and will disclose it only to people who need it and who are bound by a duty of confidence.
Confidentiality does not apply to information that is already public, that the receiving party already held lawfully before disclosure, that is independently developed without reference to the disclosed information, or that is required to be disclosed by law or by a court order. Where a legal disclosure is required, the receiving party will give prompt notice where the law allows. These obligations continue for a reasonable period after the agreement ends and, for trade secrets, for as long as the information remains a trade secret.
16. Third Party Components
A tile pack or a sound kit may include a component that the Company licenses from a third party. Where that is the case, the license record will identify the component and state any additional condition that applies. You agree to honour those conditions as if they were set out in these terms. If you need a use that the third party condition does not permit, ask the Company before using the Assets in that way.
The website may link to a third party tool or platform. The Company does not control those destinations and is not responsible for their availability, their content or their terms. A link is provided for convenience, and you are responsible for reviewing the terms of any third party service you choose to use. The Company does not provide support for a third party product.
17. Warranties
The Company warrants that it has the right to license the Assets, that the Assets will materially match the Scope Document and the published description of the service line, and that the Assets will be delivered free of malicious code as far as a reasonable technical check can determine. The Company will deliver each run with reasonable skill and care and will correct a valid defect reported within the acceptance period.
Except as stated in this section, the website and the Assets are provided as they are, and the Company disclaims any other warranty to the fullest extent permitted by law, including an implied warranty of merchantability, fitness for a particular purpose and non-infringement. The Company does not warrant that a run will achieve a commercial outcome, that a game will pass a platform review or that a third party engine will remain compatible after an update. Nothing in these terms excludes a warranty that cannot be excluded by law.
18. Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for indirect, incidental, special or consequential loss, including lost profits, lost revenue, lost data, a delayed release or damage to reputation. These exclusions apply whether the claim is framed in contract, in tort, in statute or otherwise, and whether or not the loss was foreseeable.
The total liability of the Company arising out of or in connection with a run is limited to the fees paid for that run in the twelve months before the event giving rise to the claim. Where a licence is renewed, the relevant fees are those paid for the current term. Nothing in these terms limits liability for fraud, for wilful misconduct or for any other liability that cannot be limited by law. Each exclusion and limitation is intended to be separable, so that if one is found unenforceable the others remain in effect.
19. Indemnity
You agree to indemnify the Company against a claim, loss or expense that arises from your use of the Assets outside the licence, from Client Materials that infringe the rights of a third party, from a product you build with the Assets, or from your breach of these terms. The Company will give you prompt notice of a claim that falls under this section and will reasonably cooperate in the defence, at your expense.
The Company agrees to indemnify you against a third party claim that the Assets, as delivered and used within the licence, infringe that party intellectual property rights, provided you notify the Company promptly and allow it to conduct the defence. If such a claim is established, the Company may procure a continued right to use the Assets, replace them with equivalent assets or refund the fees for the affected run. This indemnity does not apply where the claim arises from a modification you made, from a combination with your own material or from a use outside the licence.
20. Termination
Either party may terminate the agreement if the other commits a material breach and fails to remedy it within fifteen business days of written notice. The Company may suspend a run immediately where payment is overdue, where a security risk is identified or where continuing the run would breach a legal obligation. Termination does not relieve a party of an obligation that has already accrued, including payment for work done and confidentiality.
On termination, the licence granted for the affected run ends unless the license record states a different term and the fees for that term have been paid. You must stop using the Assets in new builds and, where required, remove them from distribution. The Company will return or delete Client Materials on request, subject to the retention needed for accounting and legal records. Any section that is intended to survive termination will continue to apply.
21. Force Majeure
Neither party is liable for a delay or a failure to perform caused by an event beyond its reasonable control, such as a natural disaster, a widespread power or network failure, a labour dispute, an epidemic, a change of law or an act of a public authority. The affected party will notify the other promptly and will make reasonable efforts to resume performance.
If a force majeure event continues for more than sixty days, either party may terminate the affected run by written notice. Where a run is terminated for this reason, the Company will deliver any completed work that has been paid for and will refund a prepayment for work that has not been performed, after deducting costs already committed in good faith.
22. General Provisions
These terms, together with the applicable Scope Document, invoice and license record, form the entire agreement between the parties on their subject matter and replace any earlier discussion or representation. A waiver of a breach is not a waiver of a later breach. If a clause is found invalid or unenforceable, it is adjusted to the minimum extent needed to make it valid while preserving its intent, and the remaining clauses stay in force.
You may not assign the agreement without the written consent of the Company. The Company may assign the agreement to an affiliate or to a successor in connection with a reorganisation, provided the successor assumes the same obligations. A notice under these terms must be sent in writing to the address in the contact section or to the email address last used in the correspondence thread between the parties. A notice is treated as received on the next business day after sending by email.
23. Governing Law and Disputes
These terms are governed by the laws of Hong Kong. The parties submit to the exclusive jurisdiction of the courts of Hong Kong, except that the Company may seek urgent relief in any court with jurisdiction over the matter. Before beginning formal proceedings, the parties agree to attempt to resolve a dispute through a written exchange and, where appropriate, a discussion between senior representatives.
A dispute that cannot be resolved by discussion may be referred to mediation in Hong Kong if both parties agree. Nothing in this section prevents either party from seeking an injunction or another protective order where delay would cause serious harm. Where a dispute concerns a run governed by a different law under a separate written agreement, that separate agreement will control.
24. Changes to These Terms
The Company may update these terms from time to time to reflect a change in its services, its operational practice or the law. The effective date at the top of the page records when the current version took effect. Where a change materially affects an active run, the Company will notify the affected client in writing before the change applies to that run.
A run that was agreed before a change remains governed by the version of these terms that applied at the time of acceptance, unless the parties agree otherwise in writing. Continuing to use the website after a change indicates acceptance of the updated terms for future use. A client may request a copy of a previous version from the depot inbox.
25. Contact
Questions about these terms, a Scope Document, an invoice or a license record should be sent to the depot. The same address handles all of them, and the Company will answer within one working day during Hong Kong business hours.
